Digi Communications N.V. updates its 2022 Financial Calendar

BUCHAREST, Romania, 28-Jul-2022 — /EPR FINANCIAL NEWS/ — Digi Communications N.V. (The Company) informs its shareholders and investors of the update of its 2022 Financial Calendar, in particular regarding the date of publication of the updated Annual Report 2021 (with the Company’s statutory consolidated and stand-alone financial statements prepared in accordance with International Financial Reporting Standards (“IFRS”) as adopted by the European Union (“EU”) and Part 9 of book 2 of the Dutch civil code) and the date of holding the General Meeting of Shareholders approving such report.

The change in the 2022 Financial Calendar is due to the fact that the audit process of the Company has not been finalised in the initially estimated timeline despite the sustained efforts from both the Company’s and the auditor’s side, the delay being determined by the timeline of the appointment of the Company’s auditor for 2021 and the corporate changes within the Group (i.e., the sale of the Company’s Hungarian operations), which require the allotment of additional time.

Digi Communications N.V. amends the EUR 128 million loan agreement for its Spanish subsidiary

BUCHAREST, Romania, 27-Jul-2022 — /EPR FINANCIAL NEWS/ — Digi Communications N.V. (The Company) would like to inform its investors and the market that on 27 July 2022, the Company’s Spanish subsidiary, acting as a borrower (the “Borrower”) together with the Company and RCS&RDS as original guarantors, ING Bank N.V. as sole bookrunner and mandated lead arranger and a syndicate of banks, acting as lenders, entered into an amendment agreement (the “Amendment Agreement”) to the facility agreement dated 26 July 2021 (the “Original Facilities Agreement”), under which was made available to the Company’s Spanish subsidiary an additional term loan facility in a total aggregate amount of EUR 128,000,000, for a period equal to five years, until 30 June 2027.
The borrowed amount of the new term loan facility will be used by the Borrower for the financing of capital expenditure in Spain and associated personnel costs.
